Welcome to BR Digitals. These Terms of Service ("Terms") govern your access to and use of the BR Digitals website at https://brdigitals.com (the "Service") and all related digital marketing and social media management services provided by BR Digitals Inc ("BR Digitals," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. About BR Digitals

BR Digitals is a digital marketing agency operated by BR Digitals Inc, a company registered in California, United States, with its principal place of business at 7285 Desert Forest Rd, Oak Hills, CA 92344. BR Digitals provides web design, web development, search engine optimization (SEO), social media marketing and management, pay-per-click advertising, email marketing, content marketing, and related digital marketing services to businesses.

2. Acceptance of Terms

By accessing the BR Digitals website, creating an account, purchasing a service, or otherwise using any part of the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.

3. Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract to use the BR Digitals Service. By using the Service, you represent and warrant that you meet these requirements.

4. Services Provided by BR Digitals

BR Digitals offers the following services, subject to a separate written agreement or accepted quote for paid engagements:

  • Web design and web development
  • Search engine optimization (SEO) and local SEO
  • Social media marketing and management across all major platforms
  • Pay-per-click (PPC) advertising management
  • Email marketing
  • Content marketing and reputation management
  • Conversion rate optimization and digital consultancy

Specific deliverables, timelines, and fees for each engagement are defined in the individual service agreement or quote accepted by the client.

5. Social Media Platform Integrations

BR Digitals provides social media management services that may include managing client accounts on various third-party platforms on the client's behalf. The platforms BR Digitals may integrate with include, but are not limited to:

  • Meta platforms: Facebook (Pages and profiles), Instagram (Business and Standalone), Threads, and WhatsApp Business
  • TikTok
  • LinkedIn (personal profiles and Company Pages)
  • YouTube (via Google API)
  • X (formerly Twitter)
  • Pinterest
  • Reddit
  • Google My Business
  • Other platforms including but not limited to Discord, Telegram, Mastodon, Bluesky, Threads, Twitch, Kick, Medium, Dev.to, Hashnode, WordPress, Farcaster, Nostr, VK, Skool, MeWe, and similar networks

When a client authorizes BR Digitals to connect to any of these platforms, the following applies:

  • BR Digitals uses the official APIs and OAuth authorization flows provided by each platform solely to deliver the contracted social media management services.
  • The client must explicitly authorize BR Digitals through each platform's consent flow before any access is granted.
  • BR Digitals may access basic profile information, publish content with the client's approval, and retrieve published content data and basic analytics for the connected accounts.
  • BR Digitals will not share, sell, or use client account data for any purpose other than providing the contracted service.
  • The client may revoke BR Digitals' access at any time through the platform's account settings or by contacting BR Digitals.
  • The client is responsible for ensuring that all content provided to BR Digitals for posting complies with the Community Guidelines, Terms of Service, and applicable policies of each platform.

Use of each platform's features is also governed by that platform's own terms and policies, including but not limited to:

6. Accounts and Registration

Certain features of the BR Digitals Service may require you to create an account or provide information. You agree to provide accurate, current, and complete information and to keep your account credentials confidential. You are responsible for all activity that occurs under your account.

7. Fees, Payment, and Refunds

Fees for BR Digitals services are set out in the applicable quote, proposal, or service agreement. Payments may be processed through PayPal or other payment processors listed on the Service. Unless otherwise stated in writing, all fees are non-refundable once work has commenced. Refund eligibility for specific services will be addressed in the individual service agreement.

8. Client Responsibilities

The client agrees to:

  • Provide accurate and timely information, materials, and access required for BR Digitals to perform the services.
  • Hold all necessary rights, licenses, and permissions for any content, trademarks, logos, or materials provided to BR Digitals.
  • Comply with all applicable laws and platform policies of every connected social media platform.
  • Promptly review deliverables and provide feedback within reasonable timeframes.

9. Acceptable Use

You agree not to use the BR Digitals Service to:

  • Violate any applicable law or regulation.
  • Infringe the intellectual property, privacy, or other rights of any third party.
  • Upload or transmit malware, viruses, or harmful code.
  • Attempt to gain unauthorized access to the Service or its related systems.
  • Use the Service for spam, harassment, hate speech, or illegal content.
  • Publish content through BR Digitals that violates the policies of any connected platform.

10. Intellectual Property

All content, branding, logos, designs, and materials on the BR Digitals website are owned by BR Digitals Inc or its licensors and are protected by copyright, trademark, and other intellectual property laws. Upon full payment, the client receives the rights to the specific deliverables produced for them under the applicable service agreement. BR Digitals retains the right to use anonymized case studies, portfolio samples, and process methodologies for marketing purposes unless otherwise agreed in writing.

11. Confidentiality

BR Digitals will treat all non-public client information as confidential and will not disclose it to third parties except as necessary to perform the services or as required by law. Clients agree to keep BR Digitals' proprietary methodologies, pricing, and non-public business information confidential.

12. Third-Party Services

The BR Digitals Service integrates with and links to numerous third-party services, including the social media platforms listed in Section 5, payment processors such as PayPal, and other tools. BR Digitals is not responsible for the availability, content, or practices of any third-party service. Your use of any third-party service is governed by that third party's terms and policies.

13. Disclaimers

The BR Digitals Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. BR Digitals does not guarantee specific results from digital marketing, SEO, social media, or advertising campaigns, as outcomes depend on many factors outside our control, including third-party platform algorithms, market conditions, and client cooperation.

14. Limitation of Liability

To the maximum extent permitted by law, BR Digitals Inc and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunities arising from your use of the Service. BR Digitals' total aggregate liability for any claim arising under these Terms is limited to the amount paid by the client to BR Digitals for the specific service giving rise to the claim in the three (3) months preceding the claim.

15. Indemnification

You agree to indemnify and hold BR Digitals Inc, its officers, employees, and affiliates harmless from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party, including any social media platform's terms of service.

16. Termination

BR Digitals may suspend or terminate your access to the Service at any time, with or without notice, if you breach these Terms or for any other reason at our reasonable discretion. Upon termination, your right to use the Service will immediately cease. Sections that by their nature should survive termination, including intellectual property, confidentiality, disclaimers, limitation of liability, and indemnification, will survive.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, United States, without regard to conflict of laws principles. Any dispute arising out of or related to these Terms or the Service will be resolved exclusively in the state or federal courts located in San Bernardino County, California, and you consent to the personal jurisdiction of those courts.

18. Changes to These Terms

BR Digitals may update these Terms from time to time. The updated version will be posted on this page with a new "Last updated" date. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
